By creating an account, connecting your database, or using Sequel in any capacity, you agree to abide by these Terms, as well as any applicable laws and regulations. b. Restrictions

6. User Content

a. Ownership

You retain ownership of all data and content you provide through the Service, including SQL queries and results. By using the Service, you grant Sequel a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing and improving the Service.

b. Responsibility

You are solely responsible for the content you submit or generate using the Service. You represent and warrant that you have the rights to submit or generate such content and that your content does not infringe any third-party rights or violate any laws.

7. Intellectual Property

All intellectual property rights in the Service, including software, graphics, design, and content, are owned by Sequel or our licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

8. Subscription and Payment

a. Subscription Plans

Sequel offers different subscription plans with varying levels of access and features. By subscribing to a plan, you agree to pay the fees associated with that plan. All fees are non-refundable, except as required by law.

b. Payment Information

You must provide valid payment information when subscribing to a plan. You authorize Sequel to charge your payment method on a recurring basis for the subscription fees and any applicable taxes. If your payment method fails, we may suspend or terminate your access to the Service.

9. Termination

a. Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, you will lose access to the Service, and any data associated with your account may be deleted.

b. Termination by Sequel

We reserve the right to suspend or terminate your account or access to the Service at our discretion, without notice, if we believe you have violated these Terms or applicable laws, or if your use of the Service could harm Sequel or others.

c. Effect of Termination

Upon termination, all rights granted to you under these Terms will immediately cease. Sections 5, 7, 10, 11, and 12 of these Terms will survive termination.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sequel does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, Sequel, its affiliates, and its licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use of or inability to use the Service.
  • Any unauthorized access to or use of our servers and/or any personal or financial information stored therein.
  • Any errors or omissions in the Service or any content, or for any loss or damage incurred as a result of the use of the Service.

Our total liability to you for all claims arising out of or relating to these Terms or your use of the Service, whether in contract, tort, or otherwise, is limited to the amount you have paid to Sequel for the Service in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sequel, its affiliates, and its licensors, and their respective directors, officers, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
